Jennifer Gentile is a sell-side due diligence expert who supported closings for nearly $1B in transactions.
She first did due diligence early in her corporate career by being tasked with preparing it for a long established public company. She went on to serve as Director of Administration and employee one for a startup which was acquired two years later.
Stumbling upon this passion, she’s since become an expert in sell-side due diligence and successfully prepared numerous virtual data rooms and drafted disclosure schedules.
She has dealt with everything needed in due diligence including contracts, cap tables, governance and Board of Directors minutes, forensic financial reviews, IP assignments, employee handbooks and policies, etc.

JASON MONGUE
Jason Mongue performs structured and comprehensive technical due diligence for Private Equity and Venture Capital firms.
His clients have included Level Equity, Napier Park Global Capital, Five Elms Capital, FinTech Collective, F-Prime Capital and Revolution Ventures (founded by AOL’s Founder – Steve Case).
Jason has over twenty years of experience architecting software and managing development teams for many early-stage startups (Mirixa, PipelineRx, PagerDuty).
He was the co-founding CTO of Perch Inc., a technology platform for residential real estate transactions.
In addition to his extensive leadership history, Jason has hands-on experience working with many modern open source technology stacks (Elixir, Python, Scala, Ember, Angular) and still remembers the days of coding on Microsoft.NET.
He also has considerable domain expertise in the HIPAA regulated healthcare industry and in document imaging technologies.

Roger Rappoport is the leader of Procopio’s Emerging Growth and Technology Practice Group where he has helped countless founders close millions of dollars in funding rounds from top VC firms and angel groups.
He has extensive experience in advising startup and emerging growth companies in the information technology, telecommunications, life sciences and cleantech industries.
Roger is a frequent speaker and panelist on topics and issues related to the development and implementation of a company’s formation and funding strategy.
Before attending law school, he was the founder of a technology company with $10 million in revenue.
Roger is very connected with investors in Silicon Valley and has conducted many due diligence projects on multi-million dollar funding rounds.

Noel Gillespie is an Intellectual Property attorney and Partner with Procopio Law. He formerly served on the firm’s Management Committee.
Noel’s expertise focuses largely on startup and emerging growth companies, for which he provides counseling with respect to IP portfolio deployment, due diligence, licensing, enforcement, data privacy, and other business advice involving IP and technology concerns.
Noel has extensive experience in due diligence for startups in telecom, healthcare, cleantech, software and internet companies.
Noel got his JD, cum laude, at the University of San Diego School of Law and he has a BS in Electrical Engineering from the San Diego State University.
